Represented Client in Reverse Take-Over Transaction Valued at $5.5B

Represented Nano Cures International, Inc., a US-based company focused on transforming the development and delivery of cures to major health conditions and diseases, in a definitive arrangement agreement (the "Arrangement Agreement") with Craft 1861 Global Holdings Inc. ("Craft Global"), a publicly traded Canadian corporation. The Arrangement Agreement sets out the definitive terms upon which Nano will acquire Craft Global in a reverse take-over transaction valued at $5.5B.

Represented Financial Advisory Firm in Business Combination

Represented a financial advisory and accounting firm based in the northeast in its restructuring and subsequent business combination transaction with a financial and tax advisory business.

Ownership Transfer – Pimlico Race Course

Represented Maryland Thoroughbred Racetrack Operating Authority in the transfer of ownership of Pimlico Race Course from The Stronach Group to the State of Maryland. "The historic agreement guarantees the home of the Preakness Stakes in Baltimore, establishes Pimlico as the year-round home of thoroughbred racing in Maryland, and creates a year-round hub of economic activity in Baltimore’s Park Heights community."

Terms under the master agreement include the transfer of ownership of Pimlico and ensures full renovation of Pimlico facilities, including the racetrack and hotel and event space construction. The agreement also includes the transfer of rights to the Preakness Stakes to the Maryland Thoroughbred Racetrack Operating Authority through a long-term licensing agreement.
