Complex Commercial Litigation

Extensive experience representing parties in M&A, structured finance, securities, trade secrets, employment and real estate disputes.  Representative matters include:

  • Blattman et al. v. C3, Inc. et al., No. 15-530, 16-750 (D. Del.): represented defendants against common law and securities fraud claims, securing trial victory and payment of attorneys’ fees.
  • In re Global Business Travel Share Purchase Agreement Litigation, No. 20-0338 (Del. Ch.): defended sovereign wealth fund in litigation involving MAE clause after onset of COVID-19.
  • BTG Pactual Brazil Infrastructure Fund II, L.P. et al. v. Sunedison, Inc. et al., No. 650676/2016: secured order attaching assets in order to protect international arbitration award.
  • Aon v. Marsh USA Inc. et al., No. 2021-015086-CA-01,: represented multinational insurance broker in connection with raiding and breach of restrictive covenant claims.
  • International Business Machines Corp. v. Steinberg, No. 63997/2015 (Westchester Sup.): represented plaintiff in connection with enforcement of restrictive covenant agreements and trade secret claims.
  • A.J. Richard & Sons, Inc. v. Forest City Ratner Cos., LLC, No. 514736/2015 (N.Y. Sup.): defended developer in connection with breach of contract claims arising from Pacific Park project in downtown Brooklyn.
  • PCVST Mezzco 4 LLC et al. v. Wachovia Bank Commercial Mortgage Trust 2007-C30 et al., Index No. 652045/2014 (N.Y. Sup.): represented mezzanine lender in intercreditor disputes with senior lenders over Stuyvesant Town complex in New York.

Criminal

Former federal public defender who, in both private and governmental practice, has represented institutional and individual defendants in criminal and SEC proceedings and investigations, including numerous trials and appeals.  Prior matters include:

  • United States v. Guzzone, No. 20 CR 354 (S.D.N.Y.): represented defendant charged with tax evasion.
  • United States v. Schlifstein, No. 18 CR 217 (S.D.N.Y.): represented physician charged with conspiracy to violate Anti-Kickback statute.
  • People v. Husam Ahmad et al., No. 00731/2018 (N.Y. Sup.): represented CFO in connection with bribery charges involving city contracts.
