Top Rank – Floyd Mayweather Jr. v. Manny Pacquiao

Represented Top Rank in the worldwide promotion of one of the biggest boxing matches of all time - the 2015 Floyd Mayweather Jr. v. Manny Pacquiao fight at the MGM Grand in Las Vegas. The event was promoted by Mayweather Promotions LLC, Top Rank, Showtime Networks and HBO and telecast live to more than 150 countries outside of the U.S. and Canada.

Chicago Cubs – CBS Radio Broadcast Rights Agreement

Represented the Chicago Cubs in a multi-year radio license with CBS Radio to broadcast Cubs games on WBBM Newsradio 780AM. The radio license is part of a sports and entertainment partnership that also includes several promotional initiatives across all seven of CBS Radio's local Chicago radio stations and digital and social media platforms. Additionally, the partnership will create and produce live music events at or near Wrigley Field.

MetLife Stadium – $650 Million Bond Placement

Represented a special purpose entity affiliate of the National Football League's New York Jets and the New York Giants, in a complex public financing for MetLife Stadium that involved the New Jersey Economic Development Authority and local government.

Lelands – Roberto Clemente Baseball Card Collection

Represented Lelands in pursuing monetary damages in a breach of contract action concerning the sale by a collector of a half-million dollar Roberto Clemente baseball card collection.

Sterling Equities – Minor League Acquisition

Represented Sterling Equities in the proposed acquisition of a minor league baseball franchise.

New York Racing Association – NYRA Bets National Betting Platform

Represented New York Racing Association in a joint venture formed to conduct the NYRA Bets national advance deposit wagering business.

Sports Investor – Acquisition of Italy’s Venezia FC Soccer Club

Represented sports investor Joe Tacopina in soccer franchise acquisition and ownership matters including negotiating and structuring his exit as president and co-owner of the Italian soccer club Bologna F.C. 1909, and his ensuing acquisition of Venezia F.C. The Venezia F.C. acquisition will provide Mr. Tacopina with the opportunity to return the team -- and the City of Venice -- to Serie A, Italy's top division.

Top Rank – Martinez v. Lomachenko and Verdego v. Martinez

Represented Top Rank in the June 11 Rocky Martinez v. Vasyl Lomachenko super featherweight championship bout and the Felix Verdejo v. Juan Martinez lightweight championship bout at Madison Square Garden. Both matches were distributed by HBO.

Tampa Bay Lightning – Amalie Arena Naming Rights

Represented the National Hockey League's Tampa Bay Lightning in its arena naming rights agreement with Tampa Bay-based Amalie Oil Co.

World Surf League – League Ownership and Operations

Represented a world premier surf league in negotiating and establishing league ownership, operations and core investment structures to maximize league value.

New York Yankees – $1.5 Billion Yankee Stadium Financing

Represented a special purpose entity affiliate of Major League Baseball's New York Yankees in the issuance of approximately $1.5 billion in municipal tax-free and taxable bonds by the New York City Industrial Development Agency, which financed the site lease and construction of the new Yankee Stadium.

Under Armour – NBA Marketing Partnership

Represented Under Armour, Inc., in a multiyear global sponsorship and apparel transaction with the National Basketball Association.

Regional Sports Network – High-Yield Note Offering Amendment

Represented a regional sports network in an amendment to an indenture with a U.S. bank concerning the issuance of $250 million in senior subordinated notes.

Top Rank – Manny Pacquiao vs. Jessie Vargas

Represented Top Rank in all television license agreements with U.S., Canadian and Puerto Rican pay-per-view and closed-circuit television distributors and exhibitors, as well as all international licensing agreements for the November 5 world welterweight championship between Manny Pacquiao and Jessie Vargas, held at the Thomas & Mack Center in Las Vegas.

Top Rank – Terrence Crawford v. Victor Postol

Represented Top Rank in the July 23 HBO pay-per-view world championship bout between Terrence Crawford and Victor Postol at the MGM Grand in Las Vegas.

Legends Hospitality – Point-of-Sale System Purchase

Represented an affiliate of Legends Hospitality in the purchase of a mobile and Bluetooth-enabled point-of-sale (POS) system for use at stadiums and arenas. The POS system streamlines the purchase process for both the venue and the fans thereby effecting a more seamless experience at a game or concert. 

Q4 America – IP, Sponsorships and Capital Raise for Sports Apparel Startup

Representing Q4 America, a start-up performance basketball brand based in Los Angeles that sells sports footwear, apparel and equipment, in intellectual property matters related to the development of a new brand of sneaker, sponsorship matters, athlete endorsements and capital raises.

Legends Hospitality – Los Angeles Football Club Concessions Joint Venture

Represented Legends Hospitality in a joint venture with the Los Angeles Football Club (LAFC) to provide concessions services at the team’s new 22,000-seat soccer stadium to be constructed on the site of the Los Angeles Memorial Sports Arena. LAFC is scheduled to begin play in the new stadium in 2018. As part of the joint venture agreement, Legends initially operated the food hall that was on the site of the former arena.

Dallas Cowboys Affiliate – New Media Platform

Represented Blue Star Operations Services, an affiliate of the Dallas Cowboys, in building out their new media platform.

$625 Million Secured Term Loan Facility

Represented a leading regional sports network, as borrower, in amending and restating its senior secured term loan facility into a $625 million term loan facility. The proceeds were used for working capital purposes

Regional Sports Network – $24 Million Equipment Lease Financing

Represented a leading regional sports network in a $24 million equipment lease financing transaction provided by Banc of America Leasing & Capital, LLC.

Represented the owner and operator of a major league baseball franchise in amending and extending its existing $250 million syndicated senior secured credit facilities, consisting of a $200 million term loan facility and a $50 million revolving credit facility.

Represented a client in its partnership with an electronic cash-transaction payment system provider that enables its customers with limited access to financial services to make cash payments at local stores.

Major League Sports Team – Dismissal of False Advertising Class Action

Successful defense of a major league professional sports team, obtaining pre-motion dismissal of all claims in a high-profile putative class action alleging deceptive trade practices and false advertising in connection with a very large sale of memorabilia.

New York Racing Association – Integrity Counsel

Represented New York Racing Association (NYRA), as Integrity Counsel, in assisting NYRA’s Board of Directors and management in ensuring that NYRA, its officers, employees and operations comply with all the applicable laws and regulations of New York Racing, Pari-Mutuel Wagering and Breeding Law §206(5), and AML and Patriot Act concerns. NYRA holds the exclusive right to conduct racing and pari-mutuel wagering at Aqueduct, Belmont Park and Saratoga Race Courses. We are also assisting NYRA on general corporate and tax-related matters.

Legends Hospitality – Technology Investment

Represented Legends Hospitality in an investment in VenueNext, a technology company that provides smartphone-based software that gathers fan metrics and analytics at stadiums, arenas and other large scale entertainment venues.

Represented a premier surf league in the negotiation and development of a form of surfer agreement pertaining to licensing of merchandise, and media and promotional matters for all professional surfers competing in the WSL Championship Tour.

Lelands – Jim Brown’s NFL Championship Ring

Represented Lelands in litigation filed in New York federal court by former National Football League player Jim Brown regarding the recovery of a 1964 NFL championship ring alleged to have been stolen.

Legends Hospitality – One World Observatory IP Rights

Represented Legends Hospitality in the review, assessment and protection of intellectual property rights in various unique One World Observatory visitor installations, including the Sky Pod elevators with wrap around video displays, the See Forever Theater and the City Pulse interactive display.

Sports Investor Group – Buffalo Bills Acquisition Bid

Represented a final round bidder, a consortium of high-net-worth individuals and institutional investors, in the proposed acquisition of the National Football League's Buffalo Bills, and in related stadium issues and compliance matters with the NFL constitution.

Legends Hospitality – Concessions Operations

Represented Legends Hospitality in transactions involving the operation of all food and beverage concessions and premium catering at both Angel Stadium of Anaheim and Tempe Diablo Stadium.

Yankee Global Enterprises – 21st Century Fox

Represented the New York Yankees and Yankee Global Enterprises in 21st Century Fox's multi-billion dollar acquisition of a majority stake in the Yankees Entertainment and Sports Network (YES Network). The two-step acquisition raised 21st Century Fox's ownership position in the regional sports network to 80 per cent. The remaining 20 per cent stake continues to be held by Yankee Global Enterprises.

New York Yankees – BOC SPE Analysis
