Biography
Louis Goldberg is a partner in Herrick's Real Estate Department and focuses his practice on complex corporate transactions relating to the acquisition and financing of real estate assets and businesses, including joint ventures (with an emphasis on joint venture agreements for development projects), preferred equity, debt and convertible debt financings, stock and membership interest purchase agreements and merger agreements.
Louis’ clients include real estate funds, public and privately held real estate operating companies and high-net-worth individuals.
Louis has been recognized by Thomson Reuters' Super Lawyers, which identifies lawyers who have achieved a high degree of excellence and professional achievement.
Corporate and Securities Law Aspects of Real Estate Transactions
Having served as outside corporate counsel for numerous public and privately-held corporate clients, Louis brings comprehensive corporate and securities law experience to complex real estate transactions. He has advised public companies in connection with the preparation and filing of their SEC reports, Sarbanes-Oxley Act compliance, M&A transactions, debt and equity financings (including public offerings and private placements), as well as general corporate and securities law matters. Louis has also represented funds in various compliance matters, including the preparation and filing of Section 13 and 16 SEC reports, as well as corporate governance and securities law issues generally.
Day-to-Day Outside Counsel
As part of his practice, Louis also counsels clients on such day-to-day matters as business formation and structuring, shareholder and operating agreements and disputes, employment agreements, credit facilities and other general corporate matters.
