Samuel Lifton is an associate in Herrick's Corporate Department where his experience includes drafting and negotiating stock purchase agreements, offering memorandums, indentures, transition services agreements, credit agreements, collateral agreements, note purchase agreements, proxy statements, and other agreements in relation to mergers and acquisitions, proxy contests, debt financings and high-yield and investment grade transactions.

Samuel has conducted and managed due diligence and drafted accompanying disclosure and reports on behalf of a wide range of clients across varying industries. His experience also includes providing ongoing counsel regarding compliance with securities laws, debt covenants, public filings, strategy and execution of transactions and other corporate governance matters.

Prior to joining Herrick, Samuel worked as an associate at Cravath, Swaine & Moore LLP.
