Louis Goldberg is a partner in Herrick's Corporate Department and focuses his practice on complex M&A transactions, joint ventures, leveraged buyouts, securities transactions and SEC compliance, venture capital financings, strategic investments, "going private" transactions and other corporate restructurings. Louis also regularly advises clients and boards of directors with respect to governance, fiduciary duty, corporate control and other corporate and strategic matters.

Louis has served as outside general counsel for SEC reporting companies ranging from small-cap and OTC bulletin board companies to larger NASDAQ and NYSE listed companies. He advises public companies on a day-to-day basis in connection with the preparation and filing of their SEC reports, Sarbanes-Oxley compliance, debt and equity financings (including public offerings and private placements), mergers and acquisitions and divestitures as well as general corporate and securities law matters. Louis also represents hedge funds in the preparation and filing of Schedule 13D and Section 16 reports as well as advising them on corporate governance and securities law issues generally.

As part of his M&A practice, Louis represents clients in a variety of industries--including insurance, banking, manufacturing, pharmaceutical, internet, energy, real estate and construction, investment banking, casino gaming, food and beverage, television and radio, and retail--in such strategic transactions as mergers, acquisitions, stock and asset purchases and sales, joint ventures and strategic alliances, private equity transactions and tender offers.

Louis also counsels clients on such day-to-day matters as business formation and structuring, shareholder agreements and disputes, employment agreements, credit facilities, supply and distribution agreements, licensing agreements and other general corporate matters.
