L+M Development Partners – 25 Park Row Construction Financing

Represented L+M Development Partners in a $350+ million financing transaction for the construction and development of a 45-story mixed-use condominium building at 25 Park Row in lower Manhattan. The site is the former headquarters of J&R Music World.

Cammeby’s International – $1.8 Billion JV with Harbor Group

Represented Cammeby’s International Group in a joint venture with Harbor Group International, LLC to purchase the $1.8 billion Beacon portfolio of 25 apartment communities with 9,000+ units in five states.

Migdal Insurance Company – Manhattan Garment District Building Investment

Represented affiliates of Migdal Insurance Company Ltd. in the negotiation of a joint venture arrangement with an affiliate of ATCO Properties and Management Inc. and the associated purchase of a 49% indirect ownership interest in an office building located at 240 W. 35th Street in Manhattan's Garment District. Herrick assisted Migdal with structural and tax related planning including the formation of a REIT to serve as the investment entity in the joint venture and the negotiation of a nominee ownership structure for NYC transfer tax purposes. 

Migdal Insurance Company – San Francisco Office Building Investment

Represented affiliates of Migdal Insurance Company Ltd. in the negotiation of a joint venture arrangement with a domestically controlled REIT that is an affiliate of KBS Realty Advisors and the associated purchase of a 45% indirect ownership interest in an office building located at 353 Sacramento Street, San Francisco, California.

Majority Equity Acquisition in Long Island Vineyard

Represented a New York limited liability company in the acquisition from multiple sellers of a majority equity interest in a company that owns and operates a vineyard on the North Fork of Long Island. As part of the equity transaction, we structured a distribution agreement on behalf of our client.
