Corporate Department Welcomes New Attorneys to the Practice
As our Corporate Department continues to grow in both numbers and specialties, Herrick, Feinstein LLP is pleased to announce that Marcelle S. Balcombe and Jonathan P. Cramer have joined the department.
Marcelle joins the firm as Counsel and specializes in advising clients in connection with corporate finance transactions, mergers and acquisitions and securities law matters including initial public offerings, secondary offerings, shelf takedowns, ATM offerings, private investments in public equity (PIPEs), registered direct transactions, going private transactions and other securities offerings. She has experience representing both purchasers and sellers in connection with stock purchases, asset purchases and merger transactions, including the negotiation of stock and asset purchase agreements, merger agreements, letters of intent, confidentiality agreements and other related documents.
Marcelle joins Herrick from Sichenzia Ross Ference LLP.
Jon joins the firm as Counsel and focuses his practice on public and private mergers and acquisitions, representing domestic and foreign buyers and sellers and private equity groups in connection with control, minority and venture-type investments. Jon has also represented issuers and underwriters in the public offering and private placement of debt and equity securities. He primarily advises borrowers in connection with leveraged acquisitions and recaps, including with respect to senior, subordinated and mezzanine financings, and advises both sponsors and investors in connection with private equity and hedge fund formation, as well as financial advisers in connection with their fairness opinions.
Jon joins Herrick from the New York office of BakerHostetler.
