Carpe Real Estate Associates – Acquisition in Miami, Florida

Represented Carpe Real Estate Associates in the acquisition of a six property assemblage in Miami, Florida.

Woolworth Building – Loan Modification & Extenstion

Represented the owners of the Woolworth Building, the Schron family and The Witkoff Group, in the modification and extension of a mortgage loan and a mezzanine loan for the property. 

R Squared – Island Hills Golf Club, Long Island

Herrick represented affiliates of R Squared LLC in the acquisition and financing of the final piece of the former Island Hills Golf Club located in Sayville, New York. R Squared plans to develop luxury rental apartments at the property under their Greybarn brand. 

Suffolk Golf Club Acquisition

Represented a Long Island developer on a complex acquisition of a large golf club in Suffolk County which required sophisticated financing and litigation to assist them in gaining control of the property for redevelopment as multi-family.

Joint Venture Acquisition of Hotel Assets and Properties

Represented an affiliate of the Bauhouse Group in a joint venture acquisition from affiliates of Lehman Brothers Holdings Inc. of the assets and business of NYLO Hotels LLC; and three NYLO Hotel properties located in Texas and Rhode Island.

Private Equity Fund – New York City Real Estate Sales

Represented an affiliate of a private equity real estate fund in several transactions involving the sale of eight New York City properties.

Nathan Berman/Downtown Holdings – Financing

Representation of a joint venture in securing $265.5 million in Liberty Bonds and mezzanine financing to repay existing debt and to convert to residential use the top 41 floors of 20 Exchange Place, an 800,000 square foot, 57-story landmark building in the Financial District.

This transaction was designated as one of the Most Ingenious Deals of the Year in 2006 by the Real Estate Board of New York. This was the first time in history that a single property has been the subject of the "Ingenious Deal of the Year" twice, as Herrick structured the initial deal in 2004 which was also named "Ingenious Deal of the Year."

Hale House Center Inc. – Loan

Representation of Hale House Center Inc. in a loan secured by its headquarters at 152 West 122nd Street. The loan will be used to fund and expand certain child care residences and learning centers operated by Hale House.

Pantheon Properties – Printing and Warehouse Facility Acquisition and Lease

Represented Pantheon Properties in the acquisition of a printing and warehouse facility in Brunswick, NJ, from Vertis, Inc. We also negotiated the terms of three lease agreements whereby Vertis net-leased the property from our client for varying terms.

Investment Bank – Resort Financing

Representation of an investment bank in providing senior acquisition financing for a beachfront resort in Bermuda and resort hotel in Santa Fe, New Mexico.

Domino Sugar Factory Redevelopment

Represented The Community Preservation Corporation in the acquisition, financing and development of the 11.5-acre waterfront complex in Williamsburg, Brooklyn, that was formerly home to Domino Sugar.

Asset Manager – Apartment Complex Reorganization

Representation of the asset manager for an investment bank in obtaining confirmation of a plan of reorganization jointly filed by our client, as secured creditor, and the debtor, resolving a case involving competing plans of reorganization. The confirmed plan provides for the debtor to repay 25% more than it had sought to pay, and at a higher interest rate over a shorter period.

Hotel Construction Financing

Represented a major New York hotel group in a construction loan on 6 Columbus, an 88-room boutique Manhattan hotel. We assisted our client in all aspects of the project's development, including construction, interim and permanent financing, litigation with various contractors, and the implementation of a hotel management agreement.

Commercial Bank – $61 Million Financing

Representation of a commercial bank in connection with a $60.7 million ground lease financing and an $11 million letter of credit The borrower plans to use the funds to rehabilitate a Madison Avenue commercial property.

Domino Sugar Refinery Refinancing

Represented The Community Preservation Corporation in the third tranche closing of a $120.2 million loan issued by Domino Mezz Holdings LLC and secured by a third mortgage on the 11.5-acre Domino sugar refinery site in Williamsburg, Brooklyn.

The Republic of Turkey’s New York Consulate

Representing the Republic of Turkey in the development and construction of a new and expanded consulate at 46th Street and 1st Avenue across from the UN's General Assembly; a signature project as it expands its diplomatic footprint around the world. Our work includes advice on government relations, real estate development and construction, leasing, land use and zoning.
