Jeff's practice focuses on advising privately-held entities on structure, finance and transactional matters, from formation through all stages of growth and change in control transactions. Jeff often serves in the role of outside general counsel and business advisor.
Jeff has experience across the spectrum of business sectors, including technology, manufacturing, service industries, intellectual property, Internet, software, hardware, digital platforms and new media, music, entertainment, fashion, retail and consumer products. Among his areas of focus are entity structure, shareholder and operating agreements, capital raising through Reg D. private placements and convertible debt transactions, negotiating and drafting manufacturing, licensing, sale, distribution and services agreements, joint ventures and capital events (mergers, equity and asset deals, including complex due diligence, closing and post-closing matters). He has represented borrowers and lenders in institutional and private lending transactions, including institutional loans, revolving credit facilities, letters of credit and factoring.
Jeff also represents issuers and investors in private equity and venture capital transactions, including early stage seed capital/angel investments via SAFEs or convertible loans and Series A and B venture capital rounds, private equity investment funds, venture capital funds, real estate investment funds, film funds and accelerators.
